Terms of Service
Last updated · [Date]
Template — have this reviewed before launch. Highlighted text in [brackets] must be completed.
These terms apply to every order placed with Illyrian Solutions FZE (“Cliply”, “we”, “us”). You accept them when you place an order. Please read them — they're written to be clear, not clever.
The service
Cliply is a video editing service. You upload your footage and a short brief, choose a package and any upgrades, and we deliver an edited video.
Each package sets the maximum length of the final video and the amount of raw footage included. Everything included in a package, and every upgrade, is described on our website and at checkout at the time you order.
Prices and payment
Prices are shown in euros and include VAT where applicable. The total is shown before you pay, and there are no hidden fees.
Payment is taken in full when you place your order, through our payment provider Stripe. Work starts once payment is confirmed.
Turnaround
Our standard turnaround is: first version delivered within 8 business hours. Business hours are Monday to Friday, 9:00–19:00 (Paris time), excluding public holidays.
The turnaround is counted from the moment your order is complete — payment confirmed, brief filled in and all required files uploaded.
Priority editing aims for a first version in about 4 business hours when capacity allows.
Turnaround times are estimates, not guaranteed deadlines. If something delays your order — for example unusually complex footage or a technical issue — we'll tell you as soon as we know. [Legal review: decide whether any compensation applies when an estimate is missed.]
Your footage and materials
You keep ownership of everything you upload.
By uploading, you confirm that you own the material or have all the rights and permissions needed for us to edit it — including permission from people who appear or can be heard in it, and rights to any music, logos or artwork you supply.
You grant us a limited, non-exclusive, royalty-free licence to store, copy and edit your material solely to deliver your order and provide support. We don't use it for anything else without your explicit permission.
You're responsible for keeping your own copies of your original files.
Content we don't accept
We may refuse or stop working on material that is illegal or that:
- infringes someone else's copyright, trademark, privacy or other rights;
- sexualises minors, or contains sexually explicit content;
- promotes violence, terrorism, hatred or discrimination, or harasses anyone;
- is defamatory, deceptive, or makes misleading claims (for example unsupported health or financial claims);
- contains malware or is designed to harm our systems.
If we decline an order for these reasons before work starts, we refund it. We may report illegal content to the authorities.
Delivery and revisions
We deliver through a private order link sent to your email address. Our team reviews every edit before it reaches you.
One revision round is included. Send all your changes together in that round — they should stay within the original brief and footage. Additional rounds cost €12 each. A new concept, new footage or a different length may require a new order.
Your order is complete when you approve the final version, or [X days] after delivery if no revision is requested. [Legal review.]
Using your final video
Once your order is paid, you may use the final video for any lawful purpose, including commercial use on social media, websites and ads.
Music we add comes from licensed libraries. Its use may be limited to online and social media publishing; we'll tell you if a track has other restrictions. [Legal review: align with the music library licence.]
Right of withdrawal (EU consumers)
If you order as a consumer in the EU, you normally have 14 days to withdraw from a service contract.
Because we start editing right away, at checkout you tick a separate box to expressly request immediate performance and to acknowledge that you lose your right of withdrawal once the service has been fully performed — that is, once your edited video has been delivered. If you withdraw before then, we may charge for the work already done.
To withdraw, email us with your order number. [Legal review required: confirm the checkbox wording, the definition of “fully performed” and the model withdrawal form.]
Liability
We edit with care, but creative work involves judgement. Your included revision exists so you can steer the result.
[Liability limitation clause — to be drafted by a lawyer. It must not limit liability for death or personal injury caused by negligence, fraud, or any liability that cannot be limited under applicable law, and must respect mandatory consumer rights.]
Changes to the service or these terms
We may update these terms from time to time. The version shown when you place an order applies to that order.
Governing law
These terms are governed by [governing law — to be validated by a lawyer]. If you're a consumer, you also keep the protection of the mandatory laws of the country where you live, and you may bring a claim in your local courts. [Legal review.]
[Out-of-court dispute resolution (consumer mediation): competent body and contact details to be defined by a lawyer.]
